KOKI-TON — ARTIST TERMS OF AGREEMENT (v1.0)

By publishing music, audio, cover art, images, or video on Koki-Ton ("Content"), you ("Artist") agree to the following:

1. OWNERSHIP & LICENSES
You represent and warrant that you own or control all rights (including master, composition, publishing, sample-clearance and neighboring rights) to any Content you upload, OR that you have obtained written permission from every rights-holder involved. You are solely responsible for paying any royalties, mechanical licenses, sync fees, sample clearances, or split payments owed to co-writers, producers, labels, publishers, or collection societies.

2. LICENSE TO KOKI-TON
You grant Koki-Ton a worldwide, non-exclusive, royalty-free, sublicensable license to host, stream, cache, encode, reproduce, distribute, publicly perform, and display the Content on and through the Koki-Ton platform (including feeds, charts, embed players, previews, and marketing) for as long as the Content is on the platform, plus a reasonable wind-down period.

3. INDEMNIFICATION
You will defend, indemnify, and hold harmless Koki-Ton, its officers, employees, contractors and affiliates from and against any claims, demands, damages, liabilities, losses, costs and legal fees arising out of or related to: (a) Content you uploaded; (b) your breach of these terms; (c) any infringement or violation of a third party's intellectual property, publicity, privacy, or moral rights; and (d) any government or regulatory action arising from your Content.

4. NO ROYALTY OBLIGATION
Koki-Ton is a distribution and community platform. Unless a separate written monetization agreement is signed, Koki-Ton owes you no royalties, mechanicals, or performance income for plays on the platform. Tips, subscriptions and boosts are governed by our separate Payouts terms.

5. TAKEDOWNS
Koki-Ton may remove any Content at any time, with or without notice, for any reason, including DMCA / copyright complaints, community reports, safety concerns, or platform policy. Repeat infringers will have their artist accounts terminated.

6. NO WARRANTY / LIMITATION OF LIABILITY
The platform is provided "AS IS" with no warranties. To the maximum extent permitted by law, Koki-Ton's aggregate liability to you is limited to the greater of (a) the fees you paid to Koki-Ton in the 12 months before the claim, or (b) US$100.

7. GOVERNING LAW
These terms are governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-laws principles. Disputes will be resolved by binding arbitration in San Juan, Puerto Rico.

8. ACCEPTANCE
By checking "I accept the Artist Terms of Agreement" and publishing music, you confirm you are at least 18 (or the age of majority in your jurisdiction), have full authority to agree, and have read and accept these terms in full.
